YYNote Terms of Service

Dongguan Kaihong Network Technology Co., Ltd.

The ownership and operating rights of YYNote belong to Dongguan Kaihong Network Technology Co., Ltd. Dongguan Kaihong Network Technology Co., Ltd. agrees to provide Internet-based related services in accordance with the provisions of the “YYNote Terms of Service” (hereinafter referred to as “these Terms of Service”) and the operating rules issued from time to time. Please read these Terms of Service carefully (especially the bolded portions). Use of any service of YYNote indicates that you have reached an agreement with Dongguan Kaihong Network Technology Co., Ltd. and accept all of the following terms, including any modifications made by Dongguan Kaihong Network Technology Co., Ltd. to these Terms of Service at any time. Your use of YYNote services is also subject to all terms and conditions regarding the use of YYNote services published on YYNote that are in effect at the time. If there is any conflict between the aforementioned service terms and these Terms of Service, these Terms of Service shall apply to the provisions regarding YYNote services.

1. YYNote Services

YYNote services include but are not limited to: the YYNote client installed on computers or mobile devices, YYNote-related websites, YYNote application data synchronization services, and all services provided by Dongguan Kaihong Network Technology Co., Ltd. through YYNote.

If you wish to use the YYNote continuous monthly membership service, you will also need to enter into a separate agreement with YYNote regarding such service (the “Separate Agreement”) and become a party to that Separate Agreement, and these Terms of Service shall not be deemed to supersede the specific contractual terms of the Separate Agreement. If there is any conflict between the terms of the Separate Agreement and these Terms of Service, the terms of the Separate Agreement shall prevail over the conflicting terms in these Terms of Service.

2. Equipment and Network Requirements

Dongguan Kaihong Network Technology Co., Ltd. uses its own operating systems to provide you with YYNote services through the international Internet.

You must:

Carefully read and understand the introduction to YYNote and comply with these Terms of Service and relevant operating rules.
Provide equipment, including a personal computer and network connection devices.
Personally bear the costs of Internet access and pay any fees related to this service.
Comply with the relevant laws and regulations of the People’s Republic of China (if the user is a user outside the People’s Republic of China, they shall also comply with the laws and regulations of their respective country or region).

If required by Dongguan Kaihong Network Technology Co., Ltd., you are obligated to provide information about the various installation and operating environments when YYNote is deployed by users, including but not limited to IP addresses, operating systems, and network environments.

3. Automatic Software Upgrade Feature

Your consent is required to enable YYNote’s default automatic upgrade feature.

4. Service Quality Monitoring

In order to monitor the service quality of YYNote, YYNote will, at appropriate times, send data related to service quality during software operation (including but not limited to query latency, server addresses where Dongguan Kaihong Network Technology Co., Ltd. provides services, etc.) to the servers of Dongguan Kaihong Network Technology Co., Ltd. At the same time, YYNote will generate a unique identifier. When you install or upgrade YYNote, this identifier and a message indicating whether the installation or upgrade was successful will be sent to the servers of Dongguan Kaihong Network Technology Co., Ltd. This is done to improve the service quality of YYNote, and Dongguan Kaihong Network Technology Co., Ltd. guarantees that such information will not be used for illegal or immoral purposes.

Dongguan Kaihong Network Technology Co., Ltd. will provide services in accordance with the terms, but does not undertake to resolve problems caused by you, including but not limited to hardware or software failures of your computer, use of incompatible browsers, failures of your network, your network access ceasing to resolve Youdao domain names, or interruption of the connection to the servers of Dongguan Kaihong Network Technology Co., Ltd., etc.

You may register or authorize login through a third-party platform account to access more in-depth YYNote services.

When registering an account, you undertake to abide by the seven bottom lines of laws and regulations, the socialist system, national interests, the lawful rights and interests of citizens, public order, social morality and customs, and information authenticity, and shall not include illegal or harmful information in your account registration data. You also guarantee that when registering and using your account, you shall not engage in the following:

(1) Violating the constitution, laws, or regulations;

(2) Endangering national security, leaking state secrets, subverting state power, or undermining national unity;

(3) Damaging national honor and interests, or harming public interests;

(4) Inciting ethnic hatred or ethnic discrimination, or undermining ethnic unity;

(5) Undermining national religious policies, or promoting cults and feudal superstitions;

(6) Spreading rumors, disrupting social order, or undermining social stability;

(7) Disseminating obscenity, pornography, gambling, violence, murder, terror, or inciting crime;

(8) Insulting or defaming others, or infringing upon the lawful rights and interests of others;

(9) Containing other content prohibited by laws or administrative regulations.

In accordance with relevant laws and regulations and considering the importance of YYNote product services, you agree that:

(1) When registering an account, you shall submit valid and accurate personal information for real-name authentication;

(2) You shall provide timely, detailed, and accurate account registration information;

(3) You shall not enable this service for yourself or others for profit-making purposes, by any improper means, or in violation of the principle of good faith;

(4) Each user shall bear full responsibility for all actions and events under their account, and shall not sell or lend accounts. If you fail to properly safeguard your account and password, resulting in damage to yourself, Dongguan Kaihong Network Technology Co., Ltd., or any third party, you shall bear full responsibility;

(5) If the account registration information you provide is inaccurate, untrue, or contains illegal or harmful information, Dongguan Kaihong Network Technology Co., Ltd. has the right to refuse registration and reserves the right to terminate your right to use Youdao’s various services.

6. Service Fees

You understand and agree that YYNote has the right to reasonably adjust the current charging methods, payment channels, and charging standards based on actual needs, or to charge reasonable service fees for certain currently free service items. If you do not agree with YYNote charging fees for such items, you have the right to discontinue use of that service or terminate your use of YYNote.

You understand and agree that YYNote has the right to decide whether to charge for newly added service items, and you have the right to choose to accept or decline such services.

If you accept YYNote’s paid items, you shall pay the fees in accordance with YYNote’s charging provisions; if you fail to pay the fees or are in arrears, YYNote has the right to suspend or cease providing such services to you.

You hereby confirm and accept that, regardless of whether this agreement contains provisions to the contrary, once you activate paid services for an organization, that organization cannot revert to the free version. If you fail to pay fees or are in arrears, YYNote has the right to suspend or cease providing all services to that organization.

7. User Usage Rules

YYNote is provided solely for your internal office use. You shall not sell, transfer, license, or otherwise provide it to any third party. If you wish to sell, transfer, license, or otherwise provide YYNote, or any materials, services, or software related to or derived from YYNote, you must obtain written permission from Dongguan Kaihong Network Technology Co., Ltd. If you have any feedback regarding YYNote or suggestions for improvement, you may submit them to Dongguan Kaihong Network Technology Co., Ltd. Please note that by doing so, you also grant Dongguan Kaihong Network Technology Co., Ltd. and third parties the right to use and incorporate your suggestions or feedback in YYNote (or third-party software) free of charge.

You shall not abuse YYNote services. You hereby understand and agree that any information, materials, text, software, music, audio, photographs, graphics, video, messages, user registration data, or other materials (hereinafter referred to as “Content”) transmitted through this service by uploading, posting, sending instant messages, or any other means, whether publicly or privately, shall be the sole responsibility of the content provider or user for their uploading and usage actions. YYNote cannot control the content transmitted through this service, nor can it comprehensively control users’ usage behavior, and therefore cannot guarantee the legality, correctness, completeness, authenticity, or quality of the content.

You shall bear legal responsibility for any actions you take through YYNote. If such actions have defects in rights or infringe upon the lawful rights and interests of third parties, resulting in any complaints, reports, inquiries, claims, or lawsuits faced by Youdao and its affiliates; or resulting in penalties imposed by relevant state authorities; or causing Youdao and its affiliates to suffer any loss of reputation, goodwill, or property, you shall actively take all possible measures to ensure that Youdao and its affiliates are protected from the impact of the aforementioned claims and lawsuits. At the same time, you shall bear full liability for all direct and indirect economic losses suffered by Youdao and its affiliates as a result thereof.

8. Intellectual Property

You acknowledge that Dongguan Kaihong Network Technology Co., Ltd. owns all rights to YYNote, including but not limited to all intellectual property rights. “Intellectual property rights” refers to all rights provided for under patent law, copyright law, trademark law, anti-unfair competition law, and other laws, as well as all applications, updates, extensions, and restorations thereof, whether currently or in the future, implemented and in effect globally. You agree not to modify, adapt, or translate the YYNote software, create derivative works of YYNote, or obtain source code from YYNote through decompilation, reverse engineering, disassembly, or other means. You agree not to delete, obscure, or alter any copyright notices, trademarks, or other intellectual property notices of Dongguan Kaihong Network Technology Co., Ltd. or any third party. The logos, layout design, typography, text, images, graphics, and other elements contained in the network services provided by Dongguan Kaihong Network Technology Co., Ltd. are protected by copyright, trademark rights, and other laws. Without the consent of the relevant rights holders, the aforementioned content shall not be directly or indirectly published, used, adapted or redistributed for the purpose of publication or use on any platform, or used for any other commercial purposes.

You shall guarantee that for the content you save, share, or use through YYNote, you are the owner or have obtained lawful authorization, and such content does not violate any national laws or regulations, nor infringe upon the lawful rights and interests of any third party. If a third party raises objections, YYNote has the right to delete the relevant content based on the actual circumstances and has the right to pursue your legal liability. If losses are caused to Dongguan Kaihong Network Technology Co., Ltd. or any third party, you shall bear full liability for damages.

For content you make public through YYNote services, you agree to grant Dongguan Kaihong Network Technology Co., Ltd. a worldwide, royalty-free, non-exclusive, sublicensable, and perpetual right to use. We may, at our discretion, use (including but not limited to copying, adapting, modifying, creating derivative works, translating) and disseminate such content. At the same time, you authorize YYNote to have the right to file lawsuits in its own name against any third party for infringement of the aforementioned content or its derivatives and to obtain full compensation. You guarantee that you have the necessary authorization to grant this license to Dongguan Kaihong Network Technology Co., Ltd. Notwithstanding the foregoing reservation of rights, this does not represent that we will necessarily carry out the aforementioned use or dissemination activities, and this reservation of rights only applies to content you have made public, and does not involve personal non-public information or privacy. If you and Dongguan Kaihong Network Technology Co., Ltd. separately enter into a written agreement regarding the content you have made public, the terms of that agreement shall prevail over these Terms of Service.

9. User Privacy

Respecting your personal privacy is a fundamental policy of Dongguan Kaihong Network Technology Co., Ltd. Accordingly, Dongguan Kaihong Network Technology Co., Ltd. will not publicly disclose, edit, or reveal your registration information or non-public content stored in the services of Dongguan Kaihong Network Technology Co., Ltd., unless Dongguan Kaihong Network Technology Co., Ltd. believes in good faith that disclosing such information is necessary under the following circumstances:

(1) Complying with relevant legal provisions, including providing the content of information you have published through YYNote, the time of publication, Internet address, or domain name when requested by relevant state authorities.

(2) Protecting the stability and normal operation of YYNote services.

(3) Maintaining and protecting the intellectual property rights, such as trademarks, of Dongguan Kaihong Network Technology Co., Ltd.

(4) Making every effort to safeguard the privacy and safety of you and the public in emergency situations.

(5) Under other necessary circumstances.

Our privacy policy is published at Privacy Policy. Once you use YYNote, you confirm, accept, and agree to all terms of the privacy policy.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Dongguan Kaihong Network Technology Co., Ltd. expressly disclaims any and all warranties of any other kind, whether express or implied, including but not limited to any implied warranties and liabilities of merchantability, fitness for purpose, reliability, accuracy, completeness, virus-free status, and error-free operation.

To the maximum extent permitted by applicable law, Dongguan Kaihong Network Technology Co., Ltd. and its licensors make no representations or warranties to you regarding the following:

(1) That your use of the services will meet your needs;

(2) That your use of the services will be uninterrupted, timely, secure, or error-free;

(3) That any information you obtain through your use of the relevant services will be accurate and reliable;

(4) That any operational or functional defects in any software provided to you as part of the relevant services will be corrected.

To the maximum extent permitted by applicable law, Dongguan Kaihong Network Technology Co., Ltd. assumes no liability for any accidental, indirect, special, or consequential damages or claims arising from your use of YYNote or in any way related to the products and services of Dongguan Kaihong Network Technology Co., Ltd. (including but not limited to damages for personal injury, privacy leakage, failure to perform any duty including good faith or reasonable care, negligence, and any other monetary or other losses).

11. Force Majeure

Dongguan Kaihong Network Technology Co., Ltd. shall not be liable for losses caused by force majeure. Force majeure as referred to in these Terms of Service includes: natural disasters, changes in laws, regulations, or government directives, causes unique to the nature of network services such as failures of domestic or international basic telecommunications operators, computer or Internet-related technical defects, limitations in Internet coverage, computer viruses, hacker attacks, and other unforeseeable, unavoidable, and insurmountable objective circumstances within the scope permitted by law.

12. Notices

All notices sent to you may be delivered through your email, in-site notifications, or by announcements posted in prominent locations on the website. Dongguan Kaihong Network Technology Co., Ltd. will deliver messages to you through one of the above methods to inform you of modifications to the Terms of Service, service changes, or other important matters. At the same time, Dongguan Kaihong Network Technology Co., Ltd. reserves the right to place commercial advertisements within YYNote and to use the email address you log in with to publish commercial advertisements, including but not limited to placing commercial advertisements on the email login page and any pages after login, sending commercial advertising emails to you as an email user, and attaching commercial advertisements and/or advertising links within the emails you send as an email user, provided that you have the right to choose to reject such advertisements and other information within the advertising emails in your mailbox.

13. Indemnification

You agree to indemnify and hold harmless Dongguan Kaihong Network Technology Co., Ltd., and shall be responsible for paying attorney fees, damages compensation fees, government authority penalty fees, and other tort compensation fees incurred as a result of your or members of the organization you created violating these Terms of Service and/or other service terms.

14. Termination

You may decide to terminate this agreement at any time at your own discretion, but unless otherwise provided in these Terms, you shall have no right to request Dongguan Kaihong Network Technology Co., Ltd. to refund fees already paid as of the termination date or to waive fees payable by you.

In view of the particular nature of network services, if you are a free user, Dongguan Kaihong Network Technology Co., Ltd. reserves the right to change, suspend, or terminate services at any time without notice to you. You acknowledge and accept that Dongguan Kaihong Network Technology Co., Ltd. exercises the right to change, suspend, or terminate services, and Dongguan Kaihong Network Technology Co., Ltd. shall not be liable to you or any third party.

If you are a paying user, YYNote may terminate these Terms of Service by providing you with written notice thirty (30) days in advance through the contact information you provided at registration, and will refund on a pro rata basis any prepaid fees that have not been consumed as of the effective date of termination. You acknowledge and understand that, except where expressly provided by law, Youdao has the right to directly process refunds for you without your application. The specific conditions, procedures, and other details of refunds shall be governed by the rules published on the relevant Youdao service pages.

If a party materially breaches an important provision of these Terms of Service and fails to cure such breach within ten (10) days of the non-breaching party’s written notice of such breach, the other party may terminate these Terms of Service. As an exception, if you materially breach your obligations under Sections 5, 6, 7, and 8, Dongguan Kaihong Network Technology Co., Ltd. shall have the right to immediately terminate these services to you without notice.

If you terminate these Terms of Service due to a breach by Dongguan Kaihong Network Technology Co., Ltd., your sole and exclusive remedy and the entire liability of Dongguan Kaihong Network Technology Co., Ltd. for such breach shall be a refund of the fees you have paid to Dongguan Kaihong Network Technology Co., Ltd. under these Terms of Service.

15. Law

In the event of a dispute, both parties shall resolve it through mutual negotiation. If the parties cannot resolve the dispute through negotiation, both parties agree that the dispute shall be submitted to the China International Economic and Trade Arbitration Commission (“CIETAC”) for arbitration in Beijing, China, in accordance with CIETAC’s effective arbitration rules and applicable law, and shall be heard by three (3) arbitrators.

The foregoing terms constitute the entire agreement between the parties regarding the subject matter hereof, and supersede and replace all prior or contemporaneous written or oral provisions or agreements on such subject matter. Any exclusion of any of the foregoing terms must be in writing and signed by Dongguan Kaihong Network Technology Co., Ltd. and/or any third party that provides its software together with or through YYNote in order to be effective.
